This Terms of Service Agreement ("Agreement") is entered into between you ("Accommodation Provider," "you," "your") and The Hotel Pulse ("we," "us," "our"). This Agreement outlines the terms and conditions governing the provision of digital marketing and technology support services ("Service," "Services") offered by The Hotel Pulse, which may include—but are not limited to—hotel websites, mobile-optimized websites, hosting infrastructure, booking engine, booking widget, channel manager, reputation management tools, social media management, HealthCheck assessment services, and other SEO and online marketing support services.
We reserve the right to update or modify the terms of this Agreement at any time. The most current version of these Terms of Service will always be available at thehotelpulse.com/terms-of-service.
By accessing our website or utilizing any of the Services provided by The Hotel Pulse, you acknowledge and accept the terms of this Agreement, as revised from time to time.
1. Digital Marketing and Technology Services
The Hotel Pulse offers a comprehensive suite of digital marketing, distribution, and operational technology services as outlined on our website at thehotelpulse.com.
We retain the right to enhance, modify, adjust, restrict, or discontinue any aspect of our Services at any time. We will make reasonable efforts to notify you of any material changes to the Services. Should you request additional services beyond your current plan, we may agree to provide them as an extension of your existing Service. You agree that any such supplementary services will be governed by the terms of this Agreement.
2. Account Information
Your use of the Services requires that you provide us with accurate information. You are responsible for ensuring that this information remains current and complete at all times. Should you find yourself unable to update any details in our system, you agree to notify The Hotel Pulse immediately in writing.
3. Access to The Hotel Pulse Services
To facilitate your use of the Services, we may issue usernames and passwords to you and authorized members of your team. These credentials are intended solely for the designated individuals and must not be shared with any third party. You and your staff are required to keep all usernames and passwords confidential and secure at all times. You must not provide access to the Service or its designated URL to any unauthorized person.
You bear full responsibility for any activity conducted through your account using your credentials or those of your staff members. You agree to indemnify The Hotel Pulse against any claims arising from your failure to maintain the confidentiality of your login credentials.
In the event of any unauthorized use of your credentials or any other security breach, you must immediately notify us by email at info@thehotelpulse.com.
4. Charges and Fees
You agree to pay all fees associated with the Services provided by The Hotel Pulse, as agreed upon at the time of engagement. Any changes to our pricing structure will be communicated to you via the email address you have provided.
We will issue a monthly invoice summary. You are expected to review this invoice and report any discrepancies within seven (7) days of the invoice date. If no discrepancy is reported, payment is due within seven (7) days. The Hotel Pulse reserves the right to suspend your access to the Services in the event of non-payment. Restoration of suspended services may be subject to an additional reinstatement fee.
5. Warranties
The Hotel Pulse makes no express or implied warranties, representations, or guarantees of any kind regarding the Service, including but not limited to implied warranties of non-infringement, fitness for a particular purpose, or merchantability—all of which are excluded to the fullest extent permitted by applicable law. The Service is provided on a strictly "as is" basis.
You acknowledge that the Services are acquired for business purposes and that any consumer protection warranties or guarantees that might otherwise apply under local legislation shall not be applicable.
6. Limitation of Liability
To the maximum extent permitted by law, The Hotel Pulse shall not be held liable for any loss of profits, loss of revenue, loss of savings, loss of data, or for any indirect, consequential, special, exemplary, punitive, or incidental loss or damages—regardless of the nature of the claim or legal theory—even if we have been informed of the possibility of such loss or damages.
Our aggregate liability to you arising from any claims whatsoever shall not exceed the total fees paid by you to The Hotel Pulse for the particular Service in question during the one (1) month period immediately preceding the date on which the claim arose.
You acknowledge that the availability of the Service may be affected by circumstances beyond our control, such as hardware failures, internet connectivity issues, or third-party system outages, and that we shall not be liable for any such disruptions.
No legal action relating to or arising from this Agreement may be commenced by either party more than one (1) year after the event giving rise to the claim occurred.
7. Information and Intellectual Property Rights
You acknowledge that all intellectual property rights associated with the content, design, and underlying processes of the Service belong exclusively to The Hotel Pulse or its licensors. You agree not to contest such ownership or take any action inconsistent with it.
You further acknowledge and agree that The Hotel Pulse retains all rights, title, and interest in and to its proprietary software, including any images, photographs, animations, video, audio, text, and embedded applications. No license or ownership interest in such software is granted to you under this Agreement.
The name "The Hotel Pulse," our website URLs, and all related logos, product names, and service marks are the intellectual property of The Hotel Pulse. They may not be copied, reproduced, or used—in whole or in part—without our prior written permission.
8. Confidential Information, Personal Information, and Privacy
The Hotel Pulse recognizes that it may receive proprietary and confidential information from you during the performance of this Agreement. We agree to use such information solely for the purpose of delivering our Services and will not disclose it to any third party without your prior written consent.
Notwithstanding the above, you agree that we may identify you as a client in our promotional materials and disclose to prospective clients and investors that you use our products and services. Key elements of our information handling practices include:
- No personal information is required simply to browse our website.
- When you request a service or further information, we collect only what is necessary to fulfil your request.
- We do not share personal information with parties outside The Hotel Pulse network.
- Service-related data may be used in an anonymized and non-identifiable manner for performance review and benchmarking purposes.
- We take every reasonable precaution to protect user information, both online and offline.
- Sensitive information transmitted through our website is protected using SSL/TLS encryption.
- Access to your data is restricted to authorized personnel who require it to perform their specific duties.
- Servers containing personally identifiable information are maintained in secure, access-controlled environments.
9. Third-Party Systems and Websites
In delivering our Services, we may interface with or utilize third-party platforms and services, including hosting providers, online travel agencies (OTAs), property management systems (PMS), payment gateways, web analytics tools, and other external services. These systems and services are operated independently and are beyond our control. We are not responsible for their availability, operation, or accuracy, and shall not be liable for any damages or losses arising from your interaction with any third-party service.
10. Termination
The Hotel Pulse may, at its sole discretion, immediately terminate your access to the Service if you fail to comply with the terms of this Agreement.
Either party may terminate this Agreement at any time, for any reason, by providing not less than thirty (30) days' written notice.
Upon termination of this Agreement for any reason:
- Your right to access or use the Service(s) shall be immediately revoked, and you must cease all use of the Service.
- You shall not attempt to access the Service without our prior written authorization.
- You remain responsible for all unpaid fees and outstanding charges for Services already provided.
Termination shall not affect any rights or obligations that accrued prior to or upon the date of termination, nor shall it affect the provisions of this Agreement that are intended to survive termination—including Section 5 (Warranties), Section 6 (Limitation of Liability), Section 7 (Intellectual Property), Section 8 (Confidential Information), and this Section 10.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising between the parties shall be subject to the exclusive jurisdiction of the courts situated in Pakistan.
12. Entire Agreement
Both parties acknowledge that this Agreement constitutes the complete and entire understanding between them with respect to the subject matter herein. No conditions, warranties, or other terms—whether express or implied—shall apply beyond those set forth in this Agreement. This Agreement supersedes and replaces all prior agreements, discussions, and understandings between the parties relating to the Services.
